REGISTRAR

Horizon Fintex Registrar is responsible for keeping records of shareholders after an issuer offers securities to the public and lists on the Upstream/MERJ stock exchange. Horizon Fintex Registrar provides capitalization table management ensuring that the amount of shares outstanding does not exceed the number of shares authorized in an issuers corporate charter.

Dematerialized Shares

Horizon Fintex Registrar manages its register as dematerialized shares. Dematerialization is the process of converting physical share certificates into electronic form. This means that instead of holding tangible documents, investors hold their shares in a digital format, stored in a central depository system at the registrar. This system ensures the safekeeping and easy transfer of shares without the need for physical delivery.

Secondary Trading

Horizon Fintex Registrar handles share deposit requests for secondary trading exclusively from the Upstream app. A shareholder of record may transfer their shares from the registrar's register to the Upstream/MERJ stock exchange for secondary trading.

Dividends

When an issuer needs to make a dividend payment to shareholders, the issuer refers to the list of registered owners maintained by the registrar, in addition to the list of registered owners on record date, on the Upstream/MERJ stock exchange. An issuers' Sponsor Advisor is the ultimate paying agent for dividends.

SHARE REGISTER

Horizon Fintex Registrar keeps a separate dematerialized register for each issuer. The register includes, but is not limited to:

  • the names and address of each shareholder
  • the Upstream/MERJ account/address of each shareholder, if they have an account
  • an online statement of the shares held by each shareholder
  • identify the relevant shares by number, if they have a number
  • record the amount paid or agreed to be considered as paid for the share
  • the date on which the person was entered in the register
  • the date on the former shareholder ceased to be a shareholder
  • the number of free trading shares on the Upstream/MERJ stock exchange

Shareholders are entitled to inspect Horizon Fintex Registrar's online public register for each issuer that has engaged Horizon Fintex Registrar. The online register is maintained in real-time and shows each share balance for a given Upstream/MERJ account/address.

UPSTREAM TRADING

Shareholders may apply to deposit their shares for secondary trading on the Upstream/MERJ stock exchange exclusively using the Upstream app. Horizon Fintex Registrar's will review each share deposit application, and if there are no restrictions for secondary trading, then each application will be processed according to the current rules and regulations of the Upstream/MERJ stock exchange in force at the time of each share deposit application.

U.S. Persons

The Upstream/MERJ stock exchange does not permit U.S. persons (citizens or residents) to transfer shares from the registrar to the Upstream/MERJ stock exchange for secondary trading.

Please contact the share issuer/company directly to determine whether there is another stock exchange where a U.S. persons' shares may be deposited for secondary trading, outside of the Upstream/MERJ stock exchange.
